1. Acceptance
By accessing or using SYNATHRA ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and ATH Solutions (Pty) Ltd ("ATH Solutions", "we", "our").
2. Description of Service
SYNATHRA is a cloud-based business management platform offering project management, CRM, finance, HR, and AI-assisted tooling. Services are provided on a subscription basis under the plans described on our Pricing page.
3. Account Registration
You must provide accurate, complete information during registration. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at info@ath.solutions of any unauthorised use.
4. Acceptable Use
You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorised access to any system or data; (c) transmit malicious code; (d) scrape or harvest data without written consent; (e) resell or sublicense the Platform without authorisation.
5. Subscription and Payment
Subscriptions are billed monthly or annually in advance. Prices are in South African Rand (ZAR) unless otherwise stated. We reserve the right to change pricing with 30 days' notice. Overdue accounts may be restricted after a 7-day grace period.
6. Intellectual Property
All content, trademarks, software, and materials on the Platform are owned by or licensed to ATH Solutions. You retain ownership of your data. You grant ATH Solutions a limited licence to process your data solely to provide the service.
7. Data and Privacy
Our handling of personal information is governed by our Privacy Policy, which forms part of these Terms.
8. Limitation of Liability
To the maximum extent permitted by applicable law, ATH Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amounts paid by you in the 3 months preceding the claim.
9. Disclaimer of Warranties
The Platform is provided "as is" and "as available". We make no warranty that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Payroll and Financial Calculations Disclaimer
Payroll, financial, and tax calculations generated by the Platform are for informational purposes only. ATH Solutions accepts no liability for payroll accuracy or tax compliance. You must verify all calculations with a registered accountant or payroll professional.
11. Termination
Either party may terminate the agreement at any time. On termination, your data is retained for 30 days before permanent deletion. You may export your data at any time before termination.
12. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Disputes shall be subject to the exclusive jurisdiction of the courts of Johannesburg, Gauteng.
13. Amendments
We may update these Terms at any time. Continued use of the Platform after notification constitutes acceptance. Material changes will be communicated via email or in-app notification.

Privacy Policy
1. Who We Are
ATH Solutions (Pty) Ltd is the responsible party (POPIA) / data controller (GDPR) / business (CCPA) for personal information processed through SYNATHRA. "Personal information" here also means "personal data" (GDPR) and "personal information" as defined by the California Consumer Privacy Act as amended by the CPRA.
2. Information We Collect
- Account data: name, email address, phone number, company details.
- Usage data: IP address, browser type, pages visited, actions performed.
- Content data: tasks, documents, messages, and files you create on the platform.
- Payment data: billing address, last 4 digits of card (full card data is processed by PayFast / Stripe - not stored by us).
3. How We Use Your Information
We process your data to: (a) provide and improve the Platform; (b) communicate service updates; (c) process payments; (d) comply with legal obligations; (e) prevent fraud and abuse.
4. Data Sharing
We do not sell your personal information and we have not sold or "shared" personal information (as those terms are defined by the CCPA/CPRA) in the preceding 12 months. We share data only with: payment processors (PayFast, Stripe, PayGate), cloud infrastructure providers (AWS/Cloudflare), and where required by law.
5. Data Retention
Active account data is retained while your subscription is active plus 30 days after termination. Audit logs are retained for 7 years to comply with financial regulations.
6. Your Rights (POPIA - South Africa)
You have the right to: access your personal information; request correction or deletion; object to processing; lodge a complaint with the Information Regulator (South Africa). Contact us at privacy@ath.solutions.
7. Your Rights (GDPR - EU / EEA / UK)
Where the GDPR (or the UK GDPR) applies, you additionally have the right to: data portability (receive your data in a structured, machine-readable format); restriction of processing; withdraw consent at any time without affecting prior processing; and not be subject to solely automated decision-making with legal or similarly significant effects. Our legal bases for processing are: performance of a contract (providing the Platform), legitimate interests (security, fraud prevention, product improvement), consent (optional analytics cookies), and legal obligation (tax and accounting records). You may lodge a complaint with your local supervisory authority. Data transferred out of the EEA is protected by the European Commission's Standard Contractual Clauses.
8. Your Rights (CCPA / CPRA - California)
If you are a California resident, you have the right to: know what personal information we collect, use, and disclose; delete personal information we hold about you; correct inaccurate personal information; opt out of the "sale" or "sharing" of personal information (we do neither); limit the use of sensitive personal information; and not receive discriminatory treatment for exercising these rights. To exercise a request, email privacy@ath.solutions - we will verify your identity before responding and will respond within 45 days. You may use an authorised agent to submit a request on your behalf.

10. Security
We implement industry-standard security measures including TLS encryption in transit, AES-256 encryption at rest, multi-factor authentication, and regular security audits.
11. International Transfers
Your data may be processed outside South Africa and outside the EEA (e.g., AWS servers). We ensure adequate protection through contractual safeguards, including Standard Contractual Clauses where required.

Security Policy
1. Scope
This policy describes how ATH Solutions (Pty) Ltd protects the confidentiality, integrity, and availability of customer data processed through SYNATHRA.
2. Data Encryption
All data in transit is encrypted with TLS 1.2 or higher. Data at rest is encrypted with AES-256. Database backups are encrypted and stored in a separate region.
3. Access Control
Access to production systems is restricted to authorised personnel on a least-privilege basis, protected by multi-factor authentication. Every tenant's data is isolated by row-level security. Administrative access is logged and reviewed.
4. Authentication
Passwords are hashed with bcrypt and a server-side pepper. Sessions use short-lived RS256 JSON Web Tokens with single-use refresh-token rotation. Two-factor authentication (TOTP, SMS, or email) is available to every user and can be enforced tenant-wide.
5. Application Security
All database access goes through parameterised stored functions - the application never builds SQL strings. An edge request firewall rejects and logs requests matching injection signatures, and repeat offenders are automatically IP-blocked. Rate limiting is applied per endpoint.
6. Monitoring and Incident Response
Application errors and security events are aggregated, deduplicated, and surfaced to platform administrators in real time. Suspected security incidents are triaged within 24 hours. Confirmed breaches involving personal information are notified to affected parties and the Information Regulator in line with POPIA.
7. Backups and Recovery
Automated encrypted backups are taken daily and retained for 30 days. Recovery procedures are documented and tested periodically.
8. Vulnerability Management
Dependencies are audited for known vulnerabilities on every build. Security patches are applied on a risk-prioritised schedule. Responsible-disclosure reports may be sent to security@ath.solutions.
9. Subprocessors
Infrastructure and payment subprocessors (AWS, Cloudflare, PayFast, Stripe, PayGate) are bound by contractual data-protection terms. A current list is available on request.

Refund Policy
1. Subscription Fees
Subscription fees are charged in advance and are generally non-refundable. If you cancel your subscription, you retain access until the end of your current billing period.
2. 14-Day Money-Back Guarantee
New subscribers on a paid plan may request a full refund within 14 days of their first payment, provided they have not exceeded 500 API calls or uploaded more than 1 GB of files. To request a refund, email billing@ath.solutions with your account email and reason.
3. Annual Plans
Annual plans cancelled within 14 days of purchase are eligible for a full refund. After 14 days, a pro-rated refund may be issued for unused full months, at our discretion.
4. Non-Refundable Items
The following are not eligible for refunds: (a) one-time setup fees; (b) add-on services already rendered; (c) accounts suspended for violations of our Terms of Service.
5. Processing
Approved refunds are processed within 5–10 business days to the original payment method. Payment processor fees (PayFast, Stripe) may not be refunded.
6. Chargebacks
Initiating a chargeback without first contacting our billing team may result in immediate account suspension. Please contact us to resolve billing disputes.

"SYNATHRA", "ATH Solutions", and associated logos are trademarks of ATH Solutions (Pty) Ltd. Other names and logos are the property of their respective owners and are used for identification only.
5. Third-Party Components
The Platform incorporates open-source components, each governed by its own licence. A list of these components and their licences is available on request.
6. Infringement Claims
If you believe material on the Platform infringes your copyright, send a written notice with sufficient detail to identify the work and the allegedly infringing material to legal@ath.solutions.
